Reichlin Hess advised Holcim on its acquisition of an equity stake in Inkoh AG

Holcim (Schweiz) AG, together with Axpo Biomasse AG and Terre-Suisse AG, acquired an equity stake in Inkoh AG, a subsidiary of Zindel United Holding AG and a leading Swiss producer of high-quality biochar. Under the transaction, Zindel United Holding AG sold 60% of the shares in Inkoh AG to the three new investors, while remaining the largest single shareholder with 40% and continuing to designate the Chairman of the Board of Directors.

Through its investment, Holcim expands its offering in the area of CO₂-reduced building materials and accelerates its path toward decarbonized construction solutions. Inkoh AG uses pyrolysis to turn regional, natural biomass into biochar, which binds carbon and thereby enables the removal of CO₂ from the atmosphere. At the same time, the process generates renewable heat and electricity.

Reichlin Hess advised Holcim (Schweiz) AG on this transaction. The team comprised Stefan Blunschi, Lukas Bründler and Serge von Steiger (all M&A) as well as Christian Maeder (Tax).
