Reichlin Hess advised Argon Management on its acquisition of the Vistona Group

Argon Management, an independent, owner-managed Swiss investment company, acquired vistona experts ag and waprotec ag (both Switzerland) as well as vistona gmbh (Germany), thereby laying the foundation for the further expansion of the Vistona Group.

The aim is to develop the Vistona Group both organically and through targeted acquisitions, and to establish it as a leading platform for specialized construction-related services in the German- and French-speaking markets. Under a long-term buy-and-build strategy, Argon Management plans to continuously broaden the Vistona Group’s service offering and sustainably strengthen its market position.

Reichlin Hess acted as lead transaction counsel to Argon Management on this cross-border transaction. The team comprised Stefan Blunschi, Lukas Bründler and Serge von Steiger (all M&A), Monika Jucker (Corporate/Notary Services) as well as Christian Maeder (Tax).

In a decision dated January 19, 2026 (9C_96/2024), which is scheduled for publication, the Federal Supreme Court ruled for the first time on the taxation of compensation for unlawful termination without notice. Back in 2022, the Federal Supreme Court classified compensation for wrongful termination as tax-exempt satisfaction (BGE 148 II 551).
